1. Acceptance of Terms

These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between you (“User,” “you,” “your”) and HydraBlack Elite Ecosystem (“HydraBlack,” “Company,” “we,” “our,” or “us”), governing your access to and use of the website located at https://hydrablack.com (the “Site,” “Platform,” or “Service”), including all content, features, and functionality offered through the Platform.

By accessing, browsing, registering, or using any part of HydraBlack, you confirm that:

• You have read and understood these Terms in their entirety.
• You agree to be legally bound by these Terms.
• You meet the eligibility requirements set forth in Section 3.

If you do not agree to these Terms, you must not access or use the Platform.

2. Definitions

For the purposes of these Terms:

• “Platform” refers to the HydraBlack website, including all subdomains, pages, features, APIs, and services.
• “User” refers to any person who accesses or uses the Platform, whether as a visitor, registered user, buyer, or seller.
• “Buyer” refers to a User who purchases or downloads digital products.
• “Author” or “Seller” refers to a User who creates, uploads, and sells digital products on the Platform.
• “Item” or “Product” refers to any digital asset listed on the Platform, including but not limited to scripts, SaaS tools, AI applications, design kits, plugins, themes, trading bots, and other digital resources.
• “License” refers to the usage rights granted to a Buyer upon purchasing an Item, as defined in Section 8.
• “Content” refers to all text, images, code, data, descriptions, reviews, comments, and other materials uploaded, posted, or transmitted through the Platform.
• “Merchant of Record” (MoR) refers to Paddle.com Market Limited, which processes all payments and issues invoices on behalf of HydraBlack.
• “Commission” refers to the percentage-based fee retained by HydraBlack from each sale, as described in Section 10.

3. Eligibility

To use HydraBlack, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction.
• Have the legal capacity to enter into a binding agreement.
• Not have been previously suspended or removed from the Platform.
• Not be located in a jurisdiction where use of the Platform would be prohibited by applicable law.

By creating an account, you represent and warrant that you meet all eligibility requirements. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration

A. Creating an Account:

• You must provide accurate, current, and complete information during registration.
• You must choose a unique username that does not infringe on third-party trademarks or rights.
• You are responsible for maintaining the confidentiality of your account credentials (username, email, and password).

B. Account Security:

• You are solely responsible for all activities that occur under your account.
• You must immediately notify HydraBlack if you suspect any unauthorized access to your account.
• HydraBlack is not liable for any loss or damage arising from unauthorized use of your account.
• We strongly recommend enabling Two-Factor Authentication (2FA) where available.

C. One Account Per User:

• Each individual may maintain only one (1) account on the Platform.
• Creating multiple accounts to circumvent restrictions, manipulate reviews, or engage in fraudulent activity is strictly prohibited and will result in termination of all accounts.

D. Account Verification:

• We may require identity verification (KYC) for authors/sellers before processing withdrawals.
• We reserve the right to request identity verification from any User for security and compliance purposes.

5. Platform Description

HydraBlack is a digital marketplace that connects Authors (sellers of digital products) with Buyers (purchasers of digital products). Our Platform facilitates:

• The listing, discovery, and purchasing of digital products across multiple categories.
• Communication between Buyers and Authors through an internal messaging system.
• Support ticket management for purchase-related issues.
• Review and rating systems for quality assurance.
• Author analytics and earnings management.

6. Buyer Terms

As a Buyer on HydraBlack, you agree to the following:

A. Purchasing:

• All purchases are processed through Paddle, our Merchant of Record (see Section 9).
• By completing a purchase, you receive a License to use the Item as described in Section 8.
• You are responsible for reviewing the product description, features, system requirements, and demo (if available) before purchasing.

B. Downloads and Access:

• Upon successful payment, you will receive immediate access to download the purchased Item.
• Download links are available in your Workspace under “Purchases.”
• You are responsible for maintaining your own backups of downloaded products.

C. Buyer Responsibilities:

• You must not redistribute, resell, sublicense, or share the purchased Item outside the scope of your License.
• You must not reverse-engineer, decompile, or attempt to extract the source code of obfuscated or compiled Items.
• You must not use purchased Items for unlawful purposes.
• You must not use automated tools (bots, scrapers) to access or download Items from the Platform.

7. Seller/Author Terms

As an Author on HydraBlack, you agree to the following:

A. Becoming an Author:

• You must apply and be approved as an Author before listing Items on the Platform.
• We reserve the right to accept or reject Author applications at our sole discretion.
• Authors may be required to complete identity verification (KYC) before receiving payouts.

B. Product Submissions:

• All Items submitted for sale must undergo our review process before being published.
• Items must meet our quality standards and comply with our Content Standards (Section 14).
• You represent and warrant that you own or have the legal right to sell all Items you upload.
• You must not submit Items that contain malware, backdoors, hidden tracking code, or any malicious functionality.

C. Pricing:

• Authors set their own prices for Items within the minimum and maximum price range established by HydraBlack.
• HydraBlack reserves the right to impose minimum and maximum price limits.
• Price changes take effect immediately for future purchases but do not affect existing orders.

D. Earnings and Payouts:

• Authors earn a commission on each sale as described in Section 10.
• Earnings are credited to your HydraBlack account balance after the refund period has elapsed.
• Withdrawals can be requested once your balance meets the minimum withdrawal threshold.
• HydraBlack processes withdrawals through the available methods (bank transfer, PayPal, or other supported methods).
• Authors are solely responsible for reporting and paying any applicable taxes on their earnings.

E. Author Conduct:

• Authors must respond to Buyer support inquiries within 72 hours (3 business days).
• Authors must not include external links, advertisements, or promotional materials in their Items that redirect users away from HydraBlack.
• Authors must not attempt to conduct transactions outside of the Platform to avoid fees.
• Authors must not manipulate ratings, reviews, or sales data.

8. Licensing

All Items purchased on HydraBlack are subject to one of the following license types:

General License Terms (applicable to both):

• Each License grants a non-exclusive, non-transferable, worldwide right to use the Item.
• Each License is for a single end product. Multiple projects require separate licenses.
• You cannot redistribute, resell, or sublicense the Item itself (as-is or modified) as a standalone product.
• You cannot include the Item in a competing marketplace or distribute it as a template, theme, or code library.
• The Author retains full ownership and copyright of the Item. A license purchase grants usage rights only — not ownership.
• Licenses are perpetual (no expiration) unless revoked due to a violation of these Terms or a refund is issued.

9. Payment Processing — Paddle (Merchant of Record)

• Paddle is the legal seller of record for all purchases made on the Platform.
• Paddle processes payments, issues invoices, handles tax calculations (VAT, GST, sales tax), and manages refunds.
• Your payment information (credit/debit card numbers, PayPal details) is collected and processed exclusively by Paddle. HydraBlack does not store or process your sensitive payment information.
• By making a purchase, you agree to Paddle’s Buyer Terms and Privacy Policy.
• Invoices are issued by Paddle and contain Paddle’s business details as the seller.

10. Pricing, Fees & Commissions

A. Product Pricing:

• All prices on the Platform are displayed in the currency selected by the User. The final checkout price is determined by Paddle and may include applicable taxes.
• Authors set their own product prices within the allowed range. The displayed purchase price includes both the Author’s price and the applicable buyer fee.

B. Buyer Fees:

• A buyer fee may be added to the Author’s price at checkout. This fee is clearly displayed before payment confirmation.
• Buyer fees contribute to Platform maintenance, support infrastructure, and payment processing costs.

C. Author Commissions:

• HydraBlack retains a commission from each sale. The commission rate is determined by the Author’s level and the relevant category.
• Commission rates are communicated to Authors in their Workspace dashboard and may vary based on performance tiers.
• HydraBlack reserves the right to modify commission rates with 30 days’ advance notice to Authors.

D. Taxes:

• Paddle handles all applicable sales tax, VAT, and GST calculations and collection on behalf of HydraBlack.
• Authors are responsible for their own income tax obligations related to earnings from the Platform.

11. Premium Memberships

HydraBlack may offer premium membership plans that provide additional benefits:

A. Premium Benefits (may include):

• Unlimited downloads of eligible premium Items during the subscription period.
• Exclusive access to premium-only products.
• Priority support and enhanced features.

B. Subscription Terms:

• Premium memberships are billed on a recurring basis (monthly or annually) through Paddle.
• You may cancel your subscription at any time. Access continues until the end of the current billing period.
• No partial refunds are provided for unused subscription time.
• Items downloaded during an active subscription retain their license even after cancellation.

C. Author Participation:

• Authors may opt to include their Items in the Premium catalog at their discretion.
• Authors earn a per-download fee for Premium downloads, separate from direct sale commissions.

12. Intellectual Property

A. Platform IP:

• The HydraBlack name, logo, branding, website design, custom code, and all related intellectual property are owned by HydraBlack and protected by applicable intellectual property laws.
• You may not copy, modify, distribute, or create derivative works based on HydraBlack’s intellectual property without prior written consent.

B. Author IP:

• Authors retain full ownership and copyright of the Items they create and upload.
• By listing an Item on HydraBlack, you grant HydraBlack a non-exclusive, worldwide, royalty-free license to display, promote, and distribute the Item through the Platform.
• This license terminates when you remove the Item from the Platform, except for copies already purchased by Buyers.

C. DMCA and Copyright Infringement:

• HydraBlack respects the intellectual property rights of others.
• If you believe an Item on the Platform infringes your copyright, you may submit a takedown notice to [email protected] including: identification of the copyrighted work, the infringing Item URL, your contact information, and a statement of good faith belief.
• We will investigate all legitimate claims and remove infringing content promptly.
• Repeat infringers will have their accounts permanently terminated.

13. Prohibited Conduct

You agree not to engage in any of the following activities:

Violation of any prohibited conduct may result in immediate account suspension or termination, forfeiture of account balance, and potential legal action.

14. Content Standards

All Items submitted to HydraBlack must meet the following standards:

• Quality: Items must be functional, well-coded, and free of critical bugs at the time of submission.
• Originality: Items must be original works or Items for which the Author has distribution rights. Items must not infringe on any third-party copyrights, trademarks, or patents.
• Documentation: Items should include clear documentation or instructions for installation and usage.
• Accuracy: Product descriptions, screenshots, and demos must accurately represent the Item’s features and functionality.
• Security: Items must not contain security vulnerabilities, backdoors, hidden external calls, or data harvesting code.
• Legality: Items must comply with all applicable laws and regulations. Items that promote or facilitate illegal activities are prohibited.
• No Resold Licenses: Items must not be products purchased from other marketplaces and resold on HydraBlack without the original creator’s explicit permission.

HydraBlack reserves the right to reject, remove, or suspend any Item that does not meet these standards, at our sole discretion.

15. Support & Item Updates

A. Author-Provided Support:

• If an Item includes support, the Author is expected to provide assistance with installation issues, bug fixes, and product questions.
• Support does not include customization, third-party integration help, or modifications outside the product’s scope.
• Authors must respond to support inquiries within 72 hours (3 business days).

B. Item Updates:

• Authors are encouraged, but not required, to provide regular updates to their Items (bug fixes, new features, compatibility updates).
• Buyers who have purchased an Item are entitled to receive future updates to that Item at no additional cost, subject to the License terms.

C. HydraBlack Platform Support:

• HydraBlack provides support for platform-related issues (account management, payment processing, technical issues with the Site).
• HydraBlack does not provide technical support for individual Items sold by Authors.

16. Reviews & Ratings

• Buyers who have purchased an Item may leave a review and rating.
• Reviews must be honest, based on personal experience, and relevant to the product.
• Reviews must not contain personal attacks, hate speech, spam, or promotional content.
• Authors must not incentivize, purchase, or manipulate reviews in any way.
• HydraBlack reserves the right to remove reviews that violate these guidelines.
• Repeated violations by Authors (fake reviews, review trading) will result in account penalties.

17. Refunds

Refunds are governed by our separate Refund Policy, which is incorporated into these Terms by reference. Please review our full Refund Policy for detailed information about eligibility, non-refundable situations, processes, and timeframes.

Key points:

• Refund requests are evaluated case-by-case within the applicable time limits.
• Buyers must contact the Author before requesting a refund for product issues.
• Refunds are processed through Paddle to the original payment method.
• Change of mind is not a valid reason for a refund of digital products.

18. Account Suspension & Termination

A. By HydraBlack:

We may suspend or terminate your account, at our sole discretion, if:

• You violate any provision of these Terms.
• You engage in prohibited conduct (Section 13).
• You submit fraudulent refund requests or chargebacks.
• Your account is inactive for more than 24 consecutive months.
• Required by law, regulation, or legal process.

B. Effects of Termination:

• Access to your account and all associated data will be revoked.
• Any unpaid Author earnings above the minimum withdrawal threshold will be processed and paid out within 30 days, minus any disputed amounts.
• Licenses previously granted to Buyers for your Items remain valid.
• Termination does not release you from obligations incurred prior to termination (e.g., outstanding refunds, pending disputes).

C. By You:

• You may request account deletion at any time by contacting [email protected].
• Certain data may be retained as required by law (see our Privacy Policy).

19. Disclaimer of Warranties

• HydraBlack does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
• HydraBlack does not warrant the quality, accuracy, functionality, or safety of any Item sold by third-party Authors.
• HydraBlack does not endorse any Item or Author on the Platform.

20. Limitation of Liability

• Your access to or use of (or inability to access or use) the Platform.
• Any conduct or content of any third party on the Platform, including Authors and their Items.
• Any Items obtained through the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of: (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

21. Indemnification

You agree to defend, indemnify, and hold harmless HydraBlack, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

• Your use of and access to the Platform.
• Your violation of any term of these Terms.
• Your violation of any third-party right, including intellectual property, privacy, or contractual rights.
• Any content you submit, post, or upload to the Platform (including Items, reviews, and communications).
• Any claim by a third party related to an Item you authored and sold through the Platform.

22. Dispute Resolution

A. Between Buyer and Author:

• Disputes regarding product quality, support, or functionality should first be resolved directly between the Buyer and the Author through HydraBlack’s messaging system.
• If a resolution cannot be reached, either party may escalate the dispute by submitting a support ticket to HydraBlack.
• HydraBlack will review the dispute and make a final, binding decision regarding refunds or other remedies.

B. Between User and HydraBlack:

• Any dispute arising from these Terms or your use of the Platform shall first be addressed through good-faith negotiation by contacting [email protected].
• If a resolution is not reached within 30 days, either party may pursue formal dispute resolution.
• You agree to attempt mediation before initiating any legal proceedings.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which HydraBlack is established, without regard to conflict of law principles. For EU/UK consumers, mandatory consumer protection laws of your country of residence shall apply where they provide greater protection.

24. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

25. Third-Party Links & Services

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by HydraBlack, including but not limited to Paddle (payment processing), Google Analytics, Cloudflare, and social media platforms.

HydraBlack has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that HydraBlack shall not be liable for any damage or loss caused by your use of any such third-party content, goods, or services.

26. Force Majeure

HydraBlack shall not be liable for any failure or delay in performance of its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, acts of God, or extreme weather events.
• Wars, terrorism, civil unrest, or government actions.
• Pandemics, epidemics, or public health emergencies.
• Internet or telecommunications failures.
• Cyberattacks, DDoS attacks, or security breaches beyond our reasonable prevention capabilities.
• Changes in applicable law or regulation.

27. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

28. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and HydraBlack regarding the use of the Platform and supersede all prior and contemporaneous agreements, representations, and understandings.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and HydraBlack’s failure to enforce any right or provision shall not constitute a waiver of such right or provision.

29. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the “Last Updated” date at the top of this document.
• We will post the revised Terms on our Site.
• For material changes, we will notify registered users via email or a prominent notice on the Platform at least 30 days before the changes take effect.

Your continued use of the Platform after the revised Terms take effect constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Platform.
